The Agreement is made by and between you and the "TradeAider" platform (including the website tradeaider.com and the TradeAider APP, hereinafter referred to as the "platform" or "TradeAider") owner regarding the use of the "TradeAider" platform and other related matters. Please read the Agreement carefully. Once you agree registration, the Agreement will constitute a legal document binding upon both parties, and then you should not claim for invalidation of the Agreement or request for cancellation of the Agreement for the reasons that you have not read the Agreement or you have not received the enquiry from TradeAider.
本协议是您与“贸点点”平台（平台包括网站tradeaider.com和贸点点APP，以下简称“本平台”或“贸点点”）所有者之间就“贸点点”平台使用等相关事宜所订立的契约。请您仔细阅读本注册协议，您同意注册后，本协议即构成对双方有约束力的法律文件。届时您不应以未阅读本协议的内容或者未获得贸点点对您问询等理由，主张本协议无效，或要求撤销本协议。
1.1 The ownership and operation power of TradeAider platform shall belong to Zhejiang ShinyHub Co., Ltd.
1.1 贸点点平台的所有权和运营权归浙江先合信息技术有限公司所有。
1.2 You should have agreed all the terms of the Registration Agreement and have completed the registration procedures before becoming an official user of the platform. You should acknowledge that the terms of the Agreement are always effective to deal with the rights and obligations, unless otherwise specified by mandatory legal provisions or specially agreed by both parties.
1.2 用户同意所有注册协议条款并完成注册程序，才能成为本站的正式用户。用户确认：本协议条款是处理双方权利义务的契约，始终有效，法律另有强制性规定或双方另有特别约定的，依其规定。
1.3 Once click to agree, you will be deemed that you have acknowledged that you have the corresponding legal capacity and behavioral capacity to enjoy the free platform service and to purchase the paid service, and that you are capable of independently assuming the legal liability.
1.3 用户点击同意本协议，即视为用户确认自己具有享受本平台免费服务、购买有偿服务等相应的权利能力和行为能力，并能够独立承担法律责任。
1.4 TradeAider shall have the right to formulate and revise the Agreement and the related rules from time to time as needed, and the revised agreement and rules, once promulgated, will supersede the original agreement and rules and take effect automatically. We will uniformly promulgate the changes in the related terms. If you disagree to such changes, you should stop using the TradeAider service immediately; if you continue using the TradeAider service, it means that you have accepted the revised agreement and rules.
1.4 贸点点有权根据需要不定期制订、修改本协议及相关规则，变更后的协议和规则一经公布，即取代原协议及规则并自动生效。我们会统一公布协议变更的相关条款，如您不同意相关变更，应当立即停止使用贸点点服务，如您继续使用贸点点服务，即表示您已接受经修订的协议和规则。
2.1 TradeAider provides the mobile phone client (iOS and Android versions), computer Web client and other service software patterns (subject to the provision of TradeAider). TradeAider will constantly enrich the service terminals and patterns for you. If you have registered one of the service patterns, you can use other service versions with the same account number.
2.1 贸点点提供手机客户端（iOS和Android版本）、电脑Web端等各种形式服务软件（具体以贸点点提供的为准），贸点点会不断丰富您使用本服务的终端、形式等，如您已注册使用其中一种形式的服务，则可使用同一账号使用其他版本服务。
2.2 The platform service includes iControl, MyQC, WeSupervise and other services.
2.2 本平台服务包含iControl跟单管理、MyQC质量控制、WeSupervise订单生产全程监理及其他服务。
2.3 Based on the changes in the user needs or the needs to improve the service experience, TradeAider shall have the right to optimize, upgrade, revise or transfer the service rules and applications from time to time at its discretion without prior notice and without any responsibility for you and any third party. We will announce the contents that have significant influence on the users together before the aforementioned change.
2.3 基于用户需求的变化或改善服务体验的需要，贸点点有权不定期自行决定对服务规则、应用软件进行优化、升级、变更、修改、转移。对于上述行为，贸点点均不需通知，并且对您和任何第三人不承担任何责任。我们在变更之前会将其中对用户有重大影响的内容一并公示。
3.1 You can use your mobile phone number or other manners permitted by TradeAider as the account for registration, and select the country/city and other related registration information. Please keep the information authentic, accurate, legitimate, valid and timely updated. If the information you provide is incomplete or inaccurate, you are possibly unable to use the service or restricted during use.
3.1 您可以使用您的手机号或者贸点点允许的其它方式作为账户进行注册，并选择国家/城市等相关注册信息，请保持这些信息的真实、准确、合法、有效并注意及时更新，若您填写的信息不完整或不准确，则可能无法使用本服务或在使用过程中受到限制。
3.2 You should undertake that the registered account name, head portrait and other information are not illegal or harmful, that you will not register in another person's name, that you will not register for another person without permission, that you will not register the account in the manner possibly mistaken by other users, and that you will not register in the user name possibly infringing another person's rights and interests (including but not limited suspected infringement upon trademark right and reputation right); otherwise, TradeAider shall have the right not to grant the registration or shall have the right to stop the service and withdraw the account, and the resulting losses shall be borne by you.
3.2 您承诺注册的账户名称、头像等信息中不得出现违法和不良信息，不得冒充他人进行注册，不得未经许可为他人注册，不得以可能导致其他用户误认的方式注册账户，不得使用可能侵犯他人权益的用户名进行注册（包括但不限于涉嫌商标权、名誉权侵权等）。否则贸点点有权不予注册或停止服务并收回账户，因此产生的损失由您自行承担。
3.3 After you complete the registration successfully, TradeAider will verify your identity based on your account and password. You should keep your terminal, account and password properly, fully responsible for all the activities by use of the account and password (including but not limited to online click to agree or purchase service and uploading data, etc.). You should undertake that you will notify TradeAider immediately in case of unauthorized use of password or account or in case of any other safety problems, and that you have agreed and acknowledged that TradeAider will not assume any responsibility for any direct or indirect losses arising from any of the above circumstances.
3.3 在您成功注册后，贸点点将根据账户和密码确认您的身份。您应妥善保管您的终端及账户和密码，并对利用该账户和密码所进行的一切活动（包括但不限于网上点击同意或购买服务、上传资料等）负全部责任。您承诺，在密码或账户遭到未获授权的使用，或者发生其他任何安全问题时，将立即通知贸点点，且您同意并确认，贸点点不对上述情形产生的任何直接或间接的损失承担责任。
4.1 You should fully understand and agree that since TradeAider is an Internet platform, you should assume the responsibilities for all your behaviors and results on the platform. Accordingly, you should understand that there might be risks caused by others' illegal or improper behavior (or information) during use of the TradeAider platform. You should judge and act by yourself, and assume the corresponding risks by yourself.
4.1 用户充分了解并同意，贸点点作为一个互联网平台，您应自行对在平台上的所有行为及结果承担责任。相应地，您应了解，在使用贸点点平台过程中可能发生来自他人非法或不当行为（或信息）的风险，您应自行判断及行动，并自行承担相应的风险。
4.2 You should bear the fees arising from use of the platform, e.g. internet-enabled device fees (including but not limited to the fees of computer or other internet-enabled terminals, modem and other necessary internet-enabled devices) and internet access fees (including but not limited to the network access fees, internet-enabled device lease charges and mobile phone traffic fees).
4.2 您应自行承担使用平台而产生的费用，如上网设备（包括并不限于电脑或者其他上网终端、调制解调器及其他必备的上网装置）及上网开支（包括并不限于网络接入费、上网设备租用费、手机流量费。）
4.3 According to relevant laws, regulations and rules of P.R.China, you should agree to strictly comply with the following obligations:
4.3 依据国家相关法律法规规章制定，您同意严格遵守以下义务：
(1) Do not upload or express any comment inciting to resist to or sabotage the implementation of constitutions, laws and administrative regulations, any comment inciting to subvert the state power and overthrow the socialist system, any comment inciting to split the country and sabotage the national unity, or any comment with illegal political tendency inciting the ethnic hatred and ethnic discrimination or undermining the ethnic unity.
(1) 不上传或发表：煽动抗拒、破坏宪法和法律、行政法规实施的言论，煽动颠覆国家政权，推翻社会主义制度的言论，煽动分裂国家、破坏国家统一的的言论，煽动民族仇恨、民族歧视、破坏民族团结的带有违法的政治倾向言论。
(2) Information transmission from Mainland China to overseas countries must conform to the relevant regulations of China.
(2) 从中国大陆向境外传输资料信息时必须符合中国有关法规。
(3) Do not utilize the platform to engage in money laundering, trade secret stealing, personal information stealing or other criminal activities.
(3) 不得利用本站从事洗钱、窃取商业秘密、窃取个人信息等违法犯罪活动。
(4) Do not interfere with the proper functioning of the platform, and do not hack the platform and the national computer information system.
(4) 不得干扰本平台的正常运转，不得侵入本平台及国家计算机信息系统。
(5) Do not transmit or express any criminal, harassing, libelous, abusive, minatory, nociceptive, vulgar, obscene or uncivilized information.
(5) 不得传输或发表任何违法犯罪的、骚扰性的、中伤他人的、辱骂性的、恐吓性的、伤害性的、庸俗的，淫秽的、不文明的等信息资料。
(6) Do not upload, transmit or share any content suspected of infringing other people's rights (including but not limited to copyright, patent, trademark right, trade secret and other intellectual property rights).
(6) 不得将涉嫌侵害他人权利（包括但不限于著作权、专利权、商标权、商业秘密等知识产权）之内容上载、传送或分享。
4.4 You should agree and accept that TradeAider does not have to always monitor the data and information uploaded, transmitted or shared by you, but TradeAider has the right to review and supervise your service use condition and to take the corresponding actions, including but not limited to deleting information, suspending or terminating the service and reporting to the competent authority.
4.4 您同意并接受贸点点无须时时监控您上载、传送或分享的资料及信息，但贸点点有权对您使用服务的情况进行审查、监督并采取相应行动，包括但不限于删除信息、中止或终止服务，及向有关机关报告。
4.5 You should understand and agree that during acceptance of the platform service, TradeAider and its affiliated company or its authorized entity and individual have the right to launch various commercial advertisements or any other types of promotion information in various manners, and meanwhile, you should agree to accept the aforementioned advertisements or promotion information sent to you by e-mail or SMS or in other manners.
4.5 您了解并同意，接受平台服务过程中，贸点点及其关联公司或其授权单位和个人有权以各种方式投放各种商业性广告或其他任何类型的推广信息，同时，您同意接受以电子邮件、短信或其他方式向您发送的上述广告或推广信息。
4.6 You should fully understand and agree that you must be responsible for all the behaviors under your own registered account, including any of your expressions and the consequences. You should judge the contents to which you are exposed on the platform, and assume all the risks caused by use of such contents, including the risks caused by reliance on the authenticity, integrity or practicability. The platform cannot and will not assume any responsibility for your loss or damage caused by the aforesaid risks.
4.6 您充分了解并同意，您必须为自己注册帐户下的一切行为负责，包括您所发表的任何内容以及由此产生的后果。您应对在本平台接触到的内容自行加以判断，并承担因使用内容而引起的所有风险，包括因对内容的真实性、完整性或实用性的依赖而产生的风险。平台无法且不会对您因前述风险而导致的任何损失或损害承担责任。
4.7 You should undertake to comply with the principle of good faith during the transaction service of the platform (e.g. iControl or WeSupervise), and not to engage in any misconduct unrelated to the corresponding service or in any offline transaction. You should assume the legal liability and dispute caused by such misconduct in your name independently.
4.7 您承诺使用本平台的服务（如iControl跟单管理、MyQC质量控制、WeSupervise订单全程监理等服务）时遵守诚实信用原则，不从事与相应服务无关的不当行为，不得线下交易。如因不当行为导致的法律责任和纠纷，用户将以自己的名义独立承担。
4.8 You may request the platform for coordination of any dispute with another user during use of the TradeAider platform and acceptance of the paid value-added service. Such coordination will be based on the behavior record and data of the related party on the platform. The platform only acts as a neutral third party for dispute coordination, without representing the interests of either party, and any decision made by the platform is based on the fair and reasonable principle. If discontented with the coordination result of the platform, either party may protect his own rights and interests by other legal manners.
4.8 您在使用贸点点平台和接受有偿增值服务过程中，如与其他用户产生纠纷，可以请求本平台从中予以协调处理，本平台协调处理主要依据是相关当事人在平台的行为记录和数据，本平台仅仅作为中立的第三方从中协调纠纷，不代表任何一方的利益，且本平台所做的任何决定均基于公平合理的原则，若任何一方不满平台的协调结果，可以采取其他的法律方式维护自身的权益。
4.9 You may request the platform for coordination of any dispute with service personnel during use of the TradeAider platform and acceptance of the paid value-added service. Such coordination will be based on the behavior record and data of the related party on the platform.
4.9 您在使用贸点点平台和接受有偿增值服务过程中，如与服务人员产生纠纷或发现服务人员有违法或违反本协议的行为，可以向本平台举报，本平台会对此及时调查并做出处理，本平台协调处理主要依据是相关当事人在平台的行为记录和数据。
4.10 We encourage good-faith cooperation, and persist in creating a fair, equitable, transparent and incorrupt service environment. If you discover that another user or service personnel of the platform has any illegal behavior or breach of the Agreement, you can report to the platform.
4.10 我们鼓励诚信合作，坚持打造公平、公正、透明、廉政的服务环境，如您发现其他用户或本平台服务人员有违法或违反本协议的行为，可以向本平台举报。
5.1 Your account registered on the TradeAider platform has the password protection function to ensure the safety of your basic information. Please keep your account and password information properly.
5.1 您在贸点点平台注册的账户具有密码保护功能，以确保您基本信息资料的安全，请您妥善保管账户及密码信息。
5.2 When you register, upload information or place an order to purchase on the platform, the platform will keep strictly confidential the involved user's real name, mailing address, contact number, e-mail, business data and other privacy information, and will not provide, sell, lease, share or exchange your personal information to any unrelated third party, unless otherwise:
5.2 您在本平台进行注册、上传信息、下单购买等活动时，涉及用户真实姓名/名称、通信地址、联系电话、电子邮箱、业务资料等隐私信息的，本站将予以严格保密，不会向任何非关联第三方提供、出售、出租、分享或交易您的个人信息，除非：
(1) required by relevant laws and regulations or courts and government agencies;
(1) 相关法律法规或法院、政府机关要求。
(2) transferred for the purpose of completing the merger, separation, acquisition or asset transfer;
(2) 为完成合并、分立、收购或资产转让而转移。
(3) required for providing your requested service.
(3) 为提供您要求的服务所必需。
5.3 TradeAider shall have the right to decide the longest storage period of data in the software and server and the maximum storage space of data in the server based on the actual situation. You should keep the terminal, account and password as well as the related information and contents properly. TradeAider will assume no responsibility for data lost or stolen due to your own reason and for the deletion or storage failure of related data on the platform and in the server.
5.3 贸点点有权根据实际情况自行决定您在本软件及服务中数据的最长储存期限、服务器中数据的最大存储空间等，您应当保管好终端、账号及密码，并妥善保管相关信息和内容，贸点点对因您自身原因导致的数据丢失或被盗以及在本平台及服务中相关数据的删除或储存失败不承担责任。
6.1 Unless otherwise expressly stated in writing, all the information, contents, materials, products (including software) and services provided by the platform to you are provided on the "as-is" basis.
6.1 除非另有明确的书面说明，本平台供给您的全部信息、内容、材料、产品（包括软件）和服务，均是在"按现状"和"按现有"的基础上提供的。
6.2 Unless otherwise expressly stated in writing, TradeAider will not make any express or implied statement or guarantee in any form for the operation of the platform and the information, contents, materials, products (including software) and services contained on the platform (unless otherwise specified by the laws of the People's Republic of China).
6.2 除非另有明确的书面说明，贸点点不对本站的运营及其包含在本平台上的信息、内容、材料、产品（包括软件）或服务作任何形式的、明示或默示的声明或担保（根据中华人民共和国法律另有规定的以外）。
6.3 TradeAider will not guarantee that all the information, contents, materials, products (including software) and services contained on the platform or provided to you via the platform in other manners as well as the e-mail and information sent from the server or the platform are free of virus or other harmful components.
6.3 贸点点不担保本站所包含的或以其它方式通过本站提供给您的全部信息、内容、材料、产品（包括软件）和服务、其服务器或从本站发出的电子信件、信息没有病毒或其他有害成分。
6.4 TradeAider obtains the right to deal with the lawbreaking content or behavior according to the Agreement. Such right shall not constitute the obligation or commitment of TradeAider. TradeAider cannot guarantee to discover the lawbreaking circumstance or to deal with such circumstance correspondingly in a timely manner. However, TradeAider shall guarantee to review the related contents in a timely manner upon receipt of tip-off from the users or other third parties, and any lawbreaking content discovered will be deleted and dealt with by the administer in a timely manner.
6.4 贸点点依据本协议约定获得处理违法违规内容或行为的权利，该权利不构成贸点点的义务或承诺，贸点点不能保证及时发现违法违规情形或进行相应处理。贸点点保证会在接到用户或者其他第三人的举报时，及时审查相关内容，如发现违法违规内容的，管理者将及时删除并处理。
6.5 When use of the service provided by the platform, you must assume the following uncontrollable risks by yourself, including but not limited to:
6.5 您在使用本平台提供的服务时，须自行承担如下不可掌控的风险内容，包括但不限于：
(1) Possible risk of information loss or leakage caused by computer virus, Trojans or other malwares, hacker attack or other force majeure factors;
(1) 由于受到计算机病毒、木马或其他恶意程序、黑客攻击的破坏等不可抗拒因素可能引起的信息丢失、泄漏等风险。
(2) Failure of the computer software, system, hardware and communication line of the user or the platform;
(2) 用户或平台的电脑软件、系统、硬件和通信线路出现故障。
(3) User's misoperation or use of the service in the manner not authorized by the platform;
(3) 用户操作不当或通过非平台所授权的方式使用本服务。
(4) Possible risk and responsibility of dissemination caused by forwarding and sharing of the user's published contents by another person;
(4) 用户发布的内容被他人转发、分享，因此等传播可能带来的风险和责任。
(5) Risk of platform login failure, incomplete data synchronization or slow page opening caused by unstable network signal or for other reasons;
(5) 由于网络信号不稳定等原因，所引起的平台登录失败、资料同步不完整、页面打开速度慢等风险。
(6) Other circumstances uncontrollable or reasonably unforeseeable by the platform.
(6) 其他平台无法控制或合理预见的情形。
7.1 All the intellectual property rights (including but not limited to copyright, trademark right, patent and trade secret) of all products, technologies, software, programs, data and other information (including but not limited to words, images, pictures, photos, audio and video information, charts, colors, layouts and electronic documents) in the Agreement (including the platform itself) as well as the related rights shall belong to Zhejiang ShinyHub Co., Ltd..
7.1 本协议包含平台本身所有产品、技术、软件、程序、数据及其他信息（包括但不限于文字、图像、图片、照片、音频、视频、图表、色彩、版面设计、电子文档）的所有知识产权（包括但不限于版权、商标权、专利权、商业秘密等）及相关权利均归浙江先合信息技术有限公司所有。
7.2 The Logo, "TradeAider" and other words and graphs involved in the platform as well as their compositions shall be the trademark of Zhejiang ShinyHub Co., Ltd. Without the written authorization of the trademark owner, you should not display, use or process for other purposes in any way, and should not show others that you have the right to display, use or process for other purposes.
7.2 平台涉及的Logo、“贸点点”、“Tradeaider”等文字、图形及其组成均为浙江先合信息技术有限公司的商标，用户未经商标所有人书面授权不得以任何方式展示、使用或作其他处理，也不得向他人表明您有权展示、使用、或作其他处理。
7.3 You should understand and agree to authorize TradeAider to use your name, trademark and Logo in the publicity and promotion, but only for indicating that you are one of our users or partners.
7.3 您理解并同意授权贸点点在宣传和推广中使用您的名称、商标、标识，但仅限于表明您属于我们的用户或合作伙伴。
8.1 TradeAider respects the legitimate rights of users. The rules, declarations and other related contents published in the Agreement and on the platform intend to provide the users with better services more conveniently. The users and all sectors of society are welcomed to put forward opinions and suggestions, and TradeAider will accept them with an open mind and revise the rules in the Agreement and on the platform in due time.
8.1 贸点点尊重用户的合法权利，本协议及平台上发布的各类规则、声明等相关内容，均是为了更好的、更加便利地为用户提供服务。欢迎用户和社会各界提出意见和建议，贸点点将虚心接受并适时修改本协议及平台上的各类规则。
8.2 Interpretation and applicability of the Agreement as well as any dispute in connection with the Agreement shall be governed by the laws of the People's Republic of China, and Hangzhou Gongshu District People's Court shall serve as the competent court for first instance.
8.2 本协议之解释与适用，以及与本协议有关的争议，均应依照中华人民共和国法律予以处理，并以杭州市拱墅区人民法院为第一审管辖法院。
8.3 If some terms hereof conflict with the applicable laws, such terms shall be completely re-interpreted according to the laws, while other valid terms shall survive.
8.3 如发生本协议与适用之法律相抵触时，则这些条款将完全按法律规定重新解释，而其它有效条款继续有效。
8.4 TradeAider's waiver of any right specified in the Agreement due to user's fault or breach shall not be deemed as waiver of user's other or future similar fault or breach.
8.4 贸点点对于用户过失或违约时放弃本协议规定权利的，不得视为其对用户的其他或以后同类之过失或违约行为弃权。
8.5 Once you click the "Register" button below the Agreement, you will be deemed that you have fully accepted the Agreement. Before click, please acknowledge again that you have known and fully understood all the contents of the Agreement.
8.5 您点击本协议下方的"注册"按钮即视为您完全接受本协议，在点击之前请您再次确认已知悉并完全理解本协议的全部内容。
8.6 In case there are any conflicts between the Chinese version and English version of this Agreement, the Chinese version shall prevail.
8.6 若本协议中文版本与英文版本存在冲突，中文版本优先适用。
